Oh and also the friend has to register a 3DS/3DSXL console with Club Nintendo to be eligible to redeem this code.

Also, here is the official Nintendo page with information about their promotion.
It says you have to register your game before September 7th though... so isn't it too late? :T
By the way the free code is only valid for 3DS XLs. Bummer.
